These Terms of Service (“Terms”) are a legal agreement between you (“you,” the “dealer,” or the “subscriber”) and Pivot Tag LLC (“Pivot Tag,” “we,” “us”). By creating an account or using the Pivot Tag service, you agree to these Terms. If you do not agree, do not use the service.

1. What Pivot Tag is

Pivot Tag is a software service that lets your customers scan a tag on a center-pivot irrigation machine to report a problem, and that notifies you and routes those reports to a dealer dashboard. It is a communication and record-keeping tool. It does not repair equipment, dispatch technicians on its own, or guarantee any outcome.

2. Your account

You must provide accurate information, keep your login credentials secure, and are responsible for all activity under your account. You must be at least 18 and authorized to enter this agreement on behalf of your business. Each dealership/location is its own workspace and subscription.

3. Subscriptions, billing & cancellation

Pivot Tag is offered on a subscription basis at the price shown at sign-up (currently $200 per month per dealership/location, subject to change). Subscriptions renew automatically each month until cancelled. Payments are processed by our payment provider, Stripe; by subscribing you also agree to Stripe’s terms. You authorize us to charge your payment method on a recurring basis.

You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments are non-refundable and we do not provide prorated refunds for partial periods. We may change pricing with at least 30 days’ notice for the next billing period. If a payment fails, we may suspend or terminate access.

4. Your responsibilities & acceptable use

You agree to use Pivot Tag only for lawful business purposes, to provide accurate machine and contact information, and not to misuse the service (for example: attempting to access other dealers’ data, interfering with the service, or using it to send unlawful or unsolicited messages). You are responsible for your own customers, staff, and the contact details you enter and display.

5. Your data and your customers

You retain ownership of the information you and your customers submit. You grant us the right to host and process it to operate the service. You are responsible for obtaining any needed consent from your staff and customers to contact them (including by text message) and for how you use the reports and contact information the service collects on your behalf. 6. Text-message (SMS) program

When enabled, Pivot Tag sends text messages (via our provider, Twilio) to recipients who have opted in — such as your staff, technicians, and customers who provide a callback number. Message frequency varies and depends on when problems are reported. Message and data rates may apply. Recipients can reply STOP to opt out or HELP for help. We do not sell or share mobile numbers or opt-in information with third parties for their own marketing.

7. Service provided “as is”

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that messages, alerts, or reports will always be delivered or delivered on time. Delivery depends on carriers, networks, and third-party providers outside our control.

8. Limitation of liability. To the fullest extent permitted by law, Pivot Tag LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost crops or yield, equipment damage or downtime, or losses arising from a missed, delayed, or undelivered alert or report, whether or not we were advised such damages were possible. Our total liability for any claim relating to the service is limited to the amount you paid us in the three (3) months before the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

9. Not a substitute for emergency response

Pivot Tag is not an emergency service and must not be relied on for urgent safety situations. If there is a fire, a downed power line, an injury, or any immediate danger, call 911 and your power company. A submitted report is not a confirmed or scheduled service call until you confirm it directly.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pivot Tag LLC from claims, damages, and costs (including reasonable attorneys’ fees) arising out of your use of the service, your data, your communications with your customers, or your violation of these Terms or of any law.

11. Suspension & termination

You may stop using the service and cancel at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or misuse the service. On termination, your right to use the service ends; we may delete your data after a reasonable period.

12. Changes to the service or these Terms

We may update the service and these Terms from time to time. Material changes will be posted here with a new “Last updated” date; continuing to use the service after changes means you accept them.

13. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in Georgia.
